500 Million Of The Annual Revenue Of Seven Grid Was Spanferred By La Natsu Bell 200 Million.
Shanghai La Natsu Bell clothing Limited by Share Ltd (hereinafter referred to as "La Natsu Bell") announced in the evening of May 7th that in order to speed up the spanformation and adjustment and concentrate the advantage resources to give full play to the competitive advantage of the core brand, the company intends to give Hangzhou Yan Er enterprise Management Consulting Co., Ltd. (hereinafter referred to as "Transferee", the company affiliated natural person Cao Qing holds 100% of its shares) to the 54.05% stake in Hangzhou's dark Agel Ecommerce Ltd involving the spanfer (hereinafter referred to as "Hangzhou dark" or "the target company"), and the share spanfer price of the spanaction is RMB 200 million yuan.
Hangzhou was founded in January 20, 2010 with a registered capital of 59 million 465 thousand and 400 yuan. Its main business involves clothing brand sales and online business operations. The company mainly sells and sells online clothing brands such as seven grid, OTHERMIX and OTHERCRAZY. Up to now, the controlling company of the target company is as follows:
With the completion of the sale of shares, Hangzhou's involvement will no longer be included in the scope of La Natsu Bell's consolidated statements. Data show that as of December 31, 2018, the net assets (combined caliber) of Hangzhou were 299 million yuan, corresponding to the 54.05% shareholding ratio of the net assets of about 162 million. After the negotiation between La Natsu Bell and the spanferee, the overall valuation of the target company should be no less than the net assets. Referring to the company's investment cost for Hangzhou and the independent appraiser, the 54.05% of the comparable industry's earnings and related research think 54.05% equity value is 167 million yuan.
Reporters noted that La Natsu Bell had bought and invested 135 million yuan and 65 million yuan in February 2015 in Hangzhou, which was heavily involved in Agel Ecommerce Ltd (the main business was "seven grid"). After the spanaction was completed, it held 54.05% of the total stake.
It is understood that the seven grid is a fashion fashion brand with the theme of "fashion, independence and women". The brand focuses on the niche market, and becomes a fast fashion brand pool through multiple niche brands. As at the end of the reporting period, La Natsu Bell's net assets attributable to shareholders of listed companies were 3 billion 465 million yuan, an increase of 0.51% over the previous year, and net cash flow from operating activities was 288 million yuan, which was converted from profit to deficit in the same period last year.
